Terms of Service

Not financial advice. Please read.

Tickr is an informational and educational stock-tracking tool only. Nothing in it is financial, investment, tax, or legal advice, or a recommendation to buy or sell anything. AI-generated content can be wrong. You trade only through your own brokerage, never on or through Tickr, and you alone are responsible for your decisions. Always verify against your broker before you act.

General

These Terms of Service ("Terms") govern your use of the Tickr mobile application and website (the "Service") operated by Roma Nova LLC ("we," "us," or "our"), a California-based company.

By accessing or using Tickr, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

By using Tickr, you confirm that you are a non-professional investor and are accessing the Service solely for personal, non-commercial use. Tickr is not intended for use by registered investment advisors, brokers, institutions, or professional market participants.

Not Financial Advice

Tickr is an informational and educational tool only. Nothing in this app or on this website is financial, investment, tax, or legal advice, or a recommendation, solicitation, or offer to buy or sell any security, option, or other instrument. This includes all data, charts, scores, ratings, signals, alerts, price targets, AI-generated analysis, and any other content. Tickr is not a registered investment adviser or broker-dealer, and no content is personalized advice for you or your circumstances.

AI-Generated Content Can Be Wrong

Tickr uses artificial intelligence to generate certain content, including company analysis, signal explanations, chat responses, and summaries. AI output is frequently inaccurate, incomplete, or out of date, is not reviewed by a licensed professional, and must never be relied upon on its own. Always independently verify anything you see against a primary, verified source and/or your own licensed broker before acting on it.

You Trade at Your Broker, Not on Tickr

Tickr is not a brokerage and is not a trade-execution platform. We do not place trades, hold funds, accept deposits, or provide any account, custody, or advisory services. Every trade you make happens entirely through your own separate brokerage account, never on or through Tickr.

Market data is provided "as is" through third-party providers and may be delayed, incomplete, or wrong. Your broker's data and your own records are always the authoritative source. If anything in Tickr disagrees with your broker, trust your broker, and never place a trade based on Tickr data without confirming it there first.

Trading & Options Risk

Investing and trading involve substantial risk, up to and including the loss of your entire investment. Options in particular are complex, high-risk instruments that are unsuitable for many investors. Any hypothetical figures, payoff multiples, implied moves, seasonality patterns, or price targets shown in Tickr are estimates only, not guarantees, and may not reflect real fills, commissions, assignment, taxes, or other costs. Past performance is never indicative of future results.

Accounts & Subscriptions

To access certain features, you may be required to create an account. You are responsible for maintaining accurate information and for all activity under your account.

Some features of Tickr may require a paid subscription, billed on a recurring basis (monthly or annually). Subscriptions auto-renew unless canceled in advance. By providing payment details, you authorize us to charge applicable fees to your selected payment method.

Data Accuracy

Tickr provides market data through third-party providers to offer fast and comprehensive information. However, we do not guarantee real-time accuracy or completeness. Delays, errors, gaps, or interruptions may occur beyond our control. All data and content is provided "as is" and "as available," without warranty of any kind, express or implied.

Your Responsibility & Limitation of Liability

You alone are responsible for your investment decisions and for any resulting gains or losses. You should consult a qualified, licensed financial professional before making any investment decision.

To the maximum extent permitted by law, Roma Nova LLC and its officers, employees, and affiliates are not liable for any trading decisions, financial losses, lost profits, or any direct, indirect, incidental, consequential, or punitive damages arising out of or relating to your use of, or reliance on, any data, content, or information provided through the Service, even if advised of the possibility of such damages. Your sole and exclusive remedy for any dissatisfaction with the Service is to stop using it.

Data & Privacy

Tickr collects and stores only the minimum amount of personal data necessary to operate the Service, such as your email address and subscription status. We do not sell your data to third parties, and we do not track your browsing outside of our app.

All reasonable measures are taken to protect your data. Usage analytics, if collected, are anonymized and used strictly to improve the user experience.

Modifications to Terms

We may update these Terms at any time. If we make material changes, we will attempt to provide at least 30 days' notice before they take effect. Continued use of Tickr after changes indicates acceptance of the new Terms.

Disputes & Arbitration

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have a jury hear your claims.

Informal resolution first. Before starting any formal proceeding, you agree to contact us at contact@tickrapp.ai with a description of the dispute and give us 30 days to try to resolve it with you informally. Most issues are resolved this way.

Binding arbitration. If we cannot resolve a dispute informally, you and Roma Nova LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The Federal Arbitration Act governs this section. The arbitrator's decision is final and may be entered as a judgment in any court of competent jurisdiction.

Small claims exception. Either party may instead bring an individual claim in small claims court if it qualifies there.

Class action and jury trial waiver. You and Roma Nova LLC each agree that disputes will be resolved only on an individual basis, and not as a plaintiff or class member in any purported class, collective, or representative action. You and Roma Nova LLC each waive any right to a jury trial. If the class action waiver is found unenforceable for a particular claim, that claim will proceed in court rather than arbitration, and the rest of this section still applies.

Mass filings. If 25 or more similar arbitration demands are filed against Roma Nova LLC by the same or coordinated counsel, the parties agree to resolve them in batches of no more than 25 at a time, with a single arbitrator per batch, so that filing and administrative fees remain proportionate.

30-day opt-out. You may opt out of this arbitration agreement by emailing contact@tickrapp.ai with the subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms.

Governing law and venue. These Terms are governed by the laws of the State of California, without regard to its conflict of law rules. Any dispute not subject to arbitration will be brought exclusively in the state or federal courts located in California, and you consent to their jurisdiction.

Contact & Legal

Governing law, venue, and dispute resolution are set out in the Disputes & Arbitration section above.
